THE IMPACT YOU CAN HAVE

Our Legal Risk and Governance Services team seeks an experienced attorney with deep technical expertise in retail real estate leasing to provide legal support to our Growth & Development business partners who are responsible for new store development and management of our existing fleet of properties. As Counsel II, you will report directly to the Senior Counsel Real Estate, partner regularly with Growth & Development team members providing retail real estate related legal services and work closely with all other members of the Legal, Risk and Governance Services Team. This Counsel II position will be responsible to protect the legal interests of the enterprise while ensuring Growth & Development's new store development/retention/relocation objectives are timely met. This Counsel II will provide counsel and leadership on the resolution of real estate issues and disputes. This Counsel II will also have responsibility to manage outside counsel, budgets and reporting related to services provided.

• Draft, negotiate and review a wide variety of real estate documents in support of business objectives. Such documents include rent commencement agreements, amendments, estoppels, SNDAs, indemnity agreements, guarantees, letters of credit, consent, recognition agreements, default notices and responses to same and other real estate related documents.
• Contribute deep functional retail real estate leasing expertise to support business objectives and collaborate with business and legal colleagues to manage risk.
• Provide counsel and guidance on complex and challenging issues impacting business operations.
• Provide guidance to and review work prepared by Paralegal and Administrative Assistant.
• Review, analyze and provide guidance on lease terms and support new lease negotiations in partnership with Senior Counsel.
• Counsel and collaborate with Growth & Development Vice Presidents and team members from Construction, Property Management, and Repairs and Maintenance teams on a wide variety of challenges and issues.
• Develop and implement strategies to achieve business goals including strategies for achieving business objectives in the most efficient manner while protecting against risk.
• Provide business focused guidance and counseling.
• Manage complex projects and matters from inception through resolution and implementation.
• Support special projects as assigned by the Assistant General Counsel, Senior Counsel and/or General Counsel, on an as needed basis.
• Develop and manage budgets for external legal support.
• Provide reporting and data to support litigation, projects and manage risk

ESSENTIALS FOR SUCCESS

• Minimum of 5 years of real estate legal experience, with strong emphasis on retail leasing experience and a track record of success either in-house or at a top law firm.
• In-House retail legal leasing experience strongly preferred.
• Significant experience drafting, negotiating, and enforcing retail real estate leases, rent commencement agreements, amendments, estoppels, SNDAs, indemnity agreements, guarantees, letters of credit, consent, recognition agreements, and default notices and other real estate related documents.
• Excellent drafting, communication and analytical skills.
• Self-starter with positive energy, enthusiasm, flexibility, confidence, and ability to work collaboratively in a fast-paced environment are a must.
• Excellent communication skills and demonstrated ability to interact with senior management and executives in a collaborative and effective manner.
• Demonstrated ability to work independently, exercise outstanding judgment, meet concurrent deadlines and manage time effectively.
• A strong desire to learn and contribute as part of a growing team.
• High-level of proficiency with technology, including Microsoft Word, Excel, Outlook, and PowerPoint, and the ability and willingness to master and use supporting applications and data bases.

REQUIREMENTS

• JD and excellent academic credentials.
• Admitted to practice law in the state of Illinois and demonstrated compliance with MCLE and other compliance requirements.
